Note: Magic Converters does not operate a stock marketplace. This agreement template applies only if, in the future, we accept third-party “editorial” images for hosting or demonstration.
The Supplier appoints REEVATE ACQUISITION LIMITED as agent to host and (if applicable) license the Supplier's editorial content (“Content”) under these terms.
Supplier grants us the right to host, display, create thumbnails/watermarked versions, and make minor technical enhancements (e.g., cropping, colour correction) to improve presentation.
We may distribute Content via our site and authorised distributors for editorial purposes, under standard terms we specify.
We may use Supplier's name and Content in promotional materials without additional compensation.
If licensing occurs, royalties (if any) and thresholds will be set out in an attached schedule. No royalties are due for pure promotional use or where no sale occurs.
Supplier is responsible for accurate captions/keywords and for providing model/property releases if required. Content marked “editorial” will not include releases and must be used accordingly.
Both parties will keep non-public information confidential, using reasonable care.
Either party may terminate on 30 days' written notice (or immediately for uncured material breach). We will withdraw Content from sale on termination, subject to existing licences. Final royalty accounting will occur within a reasonable period after termination.
Content is provided “as is.” Our aggregate liability to Supplier is limited to £10,000. Supplier indemnifies us against claims arising from Supplier's Content.
